These Terms of Service ("Terms") govern your access to and use of the WAITLY platform, website, and related services (together, the "Service"). Please read them carefully — by using the Service you agree to them.

1. Acceptance of these Terms

By creating an account, accessing, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you use the Service on behalf of a restaurant or other business, you represent that you are authorized to bind that business, and "you" refers to that business. If you do not agree to these Terms, do not use the Service.

2. Description of the Service

WAITLY is a software-as-a-service platform for restaurants and hospitality venues. It lets guests submit service requests by scanning a per-table QR code, routes those requests to staff smartwatches and live display boards, and provides reporting on request volumes and response times. Features available to you depend on the subscription plan you select. We may improve, modify, or discontinue features from time to time; material reductions to a paid plan will be communicated in advance where reasonably possible.

3. Accounts and Registration

To use the Service you must create an account with accurate, current, and complete information, and keep it up to date. You are responsible for:

maintaining the confidentiality of your login credentials and pairing codes;
all activity that occurs under your account, including activity by your staff members and any users you invite;
ensuring your staff comply with these Terms when using the Service.

4. Free Trials, Subscriptions, and Billing

New accounts may start with a free trial (typically 14 days) with no payment method required. When the trial ends, continued use of the Service requires an active paid subscription.

Subscriptions are billed in advance on a monthly or yearly basis, according to the plan and billing period you choose.
Prices are shown before purchase; applicable taxes may be added where required by law.
You may upgrade, downgrade, or cancel at any time from your dashboard. Cancellation stops future renewals; your plan remains active until the end of the period already paid for.
Except where required by law, fees already paid are non-refundable for partial billing periods.
We may change prices with prior notice; changes apply from your next billing period.

5. Acceptable Use

You agree not to, and not to permit anyone using your account to:

use the Service for any unlawful purpose or in violation of any applicable law or regulation;
attempt to gain unauthorized access to the Service, other accounts, or related systems;
interfere with or disrupt the integrity or performance of the Service, including by sending automated or abusive request traffic;
reverse engineer, copy, resell, or sublicense the Service except as expressly permitted;
upload content that is infringing, defamatory, or malicious (including malware).

6. Your Data and Ownership

You retain all rights to the data you and your guests submit through the Service, including venue configuration, staff details, and guest service requests ("Customer Data"). You grant us a limited license to host, process, and display Customer Data solely to provide and improve the Service. We do not sell Customer Data. Upon termination, you may request export of your Customer Data within a reasonable period, after which we may delete it in accordance with our retention practices described in the Privacy Policy.

7. Availability and Support

We work to keep the Service available around the clock, but we do not guarantee uninterrupted or error-free operation. Planned maintenance will be scheduled to minimize disruption where practical. The Service depends on third-party factors outside our control, such as your internet connection, device hardware, and hosting infrastructure. Support is provided according to your plan level via the contact channels listed on our website.

8. Disclaimers and Limitation of Liability

The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by law: (a) we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data; and (b) our total aggregate liability arising out of or relating to the Service is limited to the amounts you paid us in the twelve (12) months before the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

9. Suspension and Termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access if you materially breach these Terms, fail to pay applicable fees, or use the Service in a way that risks harm to the Service or others — where practical, we will notify you and give you an opportunity to remedy the issue first. Sections that by their nature should survive termination (including data ownership, disclaimers, and liability limits) survive.

10. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the effective date above and take reasonable steps to notify you, such as an email or an in-product notice. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
